No lining, but it really doesn't need it either. It needs to work but fit so well and unobtrusively that you forget you are wearing it - this does exactly that for me.
this has an inner fleece but if its only for your ears I would go for the skull cap.
Both are excellent and have a fleece like lining.
The only drawback I can say the balaclava has is that it doesn't cover my nose (as per the model) so on really cold days your nose will be exposed.
Otherwise both skull cap and balaclava keep your ears warm. The balaclava definitely keeps your chin and mouth area warm as you are having to breathe through it. So I'd say it's a matter of your personal choice. I tend to wear the balaclava only on the days of deep cold but both fit under a helmet OK.
