The M540 pedals are lighter and have a simplified built quality making them lighter and more reliable. They both use sealed bearings and Chromoly axles so the difference is small but noticable over the life of the pedal.

No they will not fit and they are only required to have reflectors on them if they are sold with a new bike not after market.

Yes, the SPD's are silver around the outside and top of the pedal. There is a small strip of black that runs down the inside of the pedal which connects to the crank arm.

No covers in the box when I bought a set. I think they'd be a bit small to use as flat pedals to be honest.

No reason not to. They are fine on a road bike. I use them myself as they are better for walking with when of the bike. Road cleats which stand proud of the shoe can be very slippery on some surfaces off the bike. Any recessed cleats (like on most MTB shoes) will be better for walking.

I've read that riders can get 'hot spots' using spds on road bikes. I got some shimano A520s for my road bike, which are spds with a platform. Not too heavy and they look good.

My MTB has M324's using SH56 cleats as I like the ability to get out in a panic (to prevent a nasty fall). I'd like to use these on my MTB but retain the get out in all directions of the SH56 as opposed to the SH51's twist sideways to get out.

Yes you can. Shimano cleat models SH-51, SH-55 & SH-56 will all work with the standard Shimano SPD pedals including the M520, A520, A530, M540, M324 & the M424, etc.
